Corporate VCs and companies build by them, what do you make of them and should I, as a previous (failed) founder, join such a project as CEO?

Its an interesting project and the corporate is commited to fund it up to Series A/B. Salary wise its a big increase, equity wise me as a CEO would not have more than around 10%. Terms are still negotiable. What could be my exit strategy here?
